These terms govern your use of FractionalFinder. Please read them carefully before using our platform.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FractionalFinder Limited ("FractionalFinder", "we", "us", "our"), a company registered in England and Wales, regarding your use of the FractionalFinder platform and services.

By accessing or using our platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

Important: These Terms include provisions that limit our liability and require disputes to be resolved individually, not as part of a class action.

2. Eligibility

To use FractionalFinder, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Not be prohibited from using our services under UK law or any other applicable jurisdiction
Provide accurate, current, and complete information during registration
Maintain the security of your account credentials

By registering, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility and refuse or terminate service to anyone at our discretion.

3. Account Types and Responsibilities

3.1 Worker Accounts

As a Worker (fractional professional), you agree to:

Provide accurate and truthful information about your skills, experience, and availability
Keep your profile updated and current
Respond professionally to job opportunities and businesses
Comply with all applicable employment laws and tax obligations
Not misrepresent your qualifications or experience
Maintain professional conduct in all interactions
Be legally authorised to work in the UK (or relevant jurisdiction)

3.2 Business Accounts

As a Business, you agree to:

Provide accurate information about your company and job opportunities
Post only legitimate job opportunities
Treat workers fairly and professionally
Comply with UK employment law, including IR35 regulations where applicable
Not use the platform to collect worker data for purposes other than legitimate hiring
Pay all applicable fees and maintain valid payment methods
Not post discriminatory job listings

3.3 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorised access
Not sharing your account with others

4. Platform Services

4.1 Services Provided

FractionalFinder provides:

A marketplace platform connecting fractional workers with businesses
Profile creation and management tools
Job posting and application features
Matching and search capabilities
Communication tools between parties
Payment processing for subscription services
Optional AI-powered profile enhancement and matching

4.2 Role as Platform

Important: FractionalFinder is a Platform Only

We facilitate connections but are NOT a party to any agreements between workers and businesses
We do NOT employ workers or engage businesses as clients
We are NOT responsible for the conduct, work quality, or performance of users
All employment arrangements, contracts, and agreements are solely between workers and businesses
We do NOT guarantee job placements, earnings, or hiring outcomes

4.3 Service Modifications

We reserve the right to:

Modify, suspend, or discontinue any part of the platform
Change features, functionality, or pricing with reasonable notice
Implement usage limits or restrictions
Refuse service to anyone for any reason

5. Fees and Payments

5.1 Subscription Plans

Free Tier: Workers can create profiles and apply for jobs at no cost
Premium Subscriptions: Businesses pay monthly or annual subscription fees for enhanced features
All fees are listed in GBP (£) and exclude VAT unless stated
Pricing is subject to change with 30 days' notice to existing subscribers

5.2 Payment Terms

Payments are processed securely through Stripe
You authorise us to charge your payment method on file
Subscriptions automatically renew unless cancelled
You must maintain a valid payment method
Failed payments may result in service suspension

5.3 Refund Policy

Monthly subscriptions are non-refundable
Annual subscriptions may be refunded pro-rata within 14 days of initial purchase (Consumer Contracts Regulations 2013)
No refunds are provided for unused subscription periods after cancellation
Service credits may be offered at our discretion for service outages

5.4 Cancellation

You may cancel your subscription at any time from your account settings
Cancellation takes effect at the end of the current billing period
You retain access to paid features until the end of the paid period
Upon cancellation, your account reverts to the free tier

6. Prohibited Conduct

You agree NOT to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Post false, misleading, or fraudulent information
Harass, abuse, or harm other users
Post discriminatory or offensive job listings or content
Use the platform for purposes other than legitimate job seeking/hiring
Scrape, data mine, or use automated tools to access the platform
Circumvent technical measures or security features
Attempt to gain unauthorised access to accounts or systems
Upload malware, viruses, or malicious code
Spam users with unsolicited communications
Create multiple accounts to evade restrictions
Use the platform to directly recruit workers off-platform to avoid fees
Share login credentials or allow account access by third parties
Reverse engineer or attempt to extract source code

Violation of these terms may result in immediate account suspension or termination, reporting to authorities, and legal action where appropriate.

7. Intellectual Property

7.1 Platform Ownership

All content, features, functionality, software, designs, text, graphics, logos, and trademarks on the platform are owned by FractionalFinder or our licensors and are protected by UK and international copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain ownership of content you post (profiles, job listings, applications). However, you grant us:

A worldwide, non-exclusive, royalty-free licence to use, display, and distribute your content
The right to use your content to operate, promote, and improve the platform
The right to make your profile searchable and visible to other users

This licence terminates when you delete content, subject to reasonable caching periods.

7.3 Restrictions

You may not:

Copy, modify, distribute, or create derivative works from our platform
Use our branding, logos, or trademarks without written permission
Remove or alter any copyright, trademark, or proprietary notices

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that the service will be uninterrupted, error-free, or secure.

8.2 No Guarantee of Results

We do not guarantee:

That workers will find jobs or businesses will find suitable candidates
The quality, safety, legality, or reliability of users or job postings
That interactions will result in employment or commercial relationships
The accuracy of AI-generated suggestions or matches

8.3 Limitation of Liability

To the fullest extent permitted by law, FractionalFinder shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Actions or conduct of other users
Employment disputes, contractual disputes, or payment disputes between users
Unauthorised access to your account or data

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim, or £100, whichever is greater.

8.4 UK Consumer Rights

Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under UK law. UK consumers have certain statutory rights that cannot be excluded.

9. Indemnification

You agree to indemnify, defend, and hold harmless FractionalFinder, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

Your use of the platform
Your violation of these Terms
Your violation of any laws or rights of third parties
Content you post or transmit through the platform
Disputes with other users
Employment relationships or contractual arrangements with other users

10. Termination

10.1 By You

You may close your account at any time through your account settings. Subscription cancellations are governed by Section 5.4.

10.2 By Us

We may suspend or terminate your account:

For violation of these Terms
For fraudulent or illegal activity
For non-payment of fees
If required by law or regulatory authorities
At our discretion, with or without cause

10.3 Effect of Termination

Upon termination:

Your right to use the platform immediately ceases
We may delete your account and data (subject to legal retention requirements)
Provisions regarding liability, indemnification, and dispute resolution survive
No refunds are provided for terminations due to Terms violations

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

11.2 Jurisdiction

The courts of England and Wales have exclusive jurisdiction over any disputes arising from these Terms or your use of the platform, except where UK consumer protection laws require otherwise.

11.3 Informal Resolution

Before initiating formal proceedings, please contact us at legal@fractionalfinder.io to attempt informal resolution. We commit to good-faith efforts to resolve disputes amicably.

11.4 Individual Claims Only

Disputes must be brought individually, not as part of a class action or collective proceeding, except where prohibited by law.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and FractionalFinder regarding the platform.

12.2 Amendments

We may update these Terms from time to time. Material changes will be notified by email or prominent platform notice. Continued use after changes constitutes acceptance.

12.3 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

12.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

12.6 Third-Party Services

Our platform integrates with third-party services (Clerk, Stripe, Supabase, Resend, LinkedIn). Your use of those services is subject to their respective terms and privacy policies.

12.7 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control (e.g., natural disasters, war, government actions, internet failures).
